Terms of service

These terms of service (“Terms”) govern your access to and use of the website at propelio.app and the workspace application at workspace.propelio.app. Propelio is the proposal software product (“Propelio”, the “service”) offered by Rebellious Digital (“we”, “us”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Propelio provides software tools for creating, sending, and managing business proposals. We may update, improve, or discontinue features at any time. We will give reasonable notice of material changes that affect your use.

2. Your account

You must provide accurate information when creating an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. If you suspect unauthorised access, contact us at support@propelio.app immediately.

You must be at least 16 years old to create an account. By registering, you confirm you meet this requirement.

3. Acceptable use

You agree not to use the service to:

• Send spam, unsolicited messages, or fraudulent proposals.
• Impersonate any person or entity, or misrepresent your affiliation.
• Upload or transmit malware, viruses, or harmful code.
• Attempt to gain unauthorised access to our systems or other users’ data.
• Violate any applicable law, including consumer protection and data privacy laws.
• Use automated tools to scrape, crawl, or extract data from the service without our permission.

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice in serious cases.

4. Your content

You retain ownership of all content you create using Propelio, including proposal text, images, and client data (“Your Content”). You grant us a limited licence to store, process, and transmit Your Content solely to provide the service to you.

You are responsible for ensuring that Your Content does not infringe any third-party intellectual property rights, and that you have the right to share any client data you upload with us under applicable data protection law.

5. Subscriptions and billing

Access to Propelio is provided on a subscription basis. Prices are shown in your account settings and on the pricing page. All prices are in GBP and exclude VAT where applicable.

Subscriptions renew automatically at the end of each billing period unless you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then.

We do not offer refunds for unused portions of a billing period, except where required by law. If you believe a charge is incorrect, contact us within 30 days of the charge.

6. Free trial

We may offer a free trial period. No payment is taken during the trial. If you do not cancel before the trial ends, your chosen subscription plan will begin and your payment method will be charged. We will send a reminder before your trial expires.

7. Intellectual property

The Propelio service and its content, features, and functionality are owned by Rebellious Digital and are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the service without our written permission.

8. Availability and uptime

We aim to keep the service available and reliable, but we do not guarantee uninterrupted access. Planned maintenance, outages, and third-party service failures may occasionally affect availability. We will communicate planned downtime where reasonably possible.

9. Limitation of liability

To the fullest extent permitted by law, Rebellious Digital is not liable for any indirect, incidental, consequential, or special damages arising from your use of the service, including lost revenue, lost data, or business interruption.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnity

You agree to indemnify and hold harmless Rebellious Digital and its officers, directors, and employees from any claims, losses, or damages arising from your breach of these Terms or your use of the service in a manner not permitted by these Terms.

11. Termination

Either party may terminate the agreement at any time. You can close your account from your account settings. We may suspend or terminate your account immediately if you breach these Terms, with or without notice depending on the severity of the breach.

On termination, your right to use the service ends. We will handle your data in accordance with our Privacy policy.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
